MBR registration Required Registering the company with the Malta Business Registry, including the memorandum and articles of association. Why: A company does not exist until the Registrar issues its certificate of registration. The government fee is set by the Registrar and scales with authorised share capital. Company secretary Required Appointing a company secretary, who maintains the statutory registers and files the annual return. Why: Every Maltese company must have one by law. Registered office Required A registered office address in Malta, recorded at the Registry and used for official correspondence. Why: Statutory requirement. VAT registration if carrying out an economic activity Registering for VAT and obtaining a VAT number, then filing returns at the required frequency. PE number if employing anyone, including yourself A permission-to-employ number registering the company as an employer with the tax authority. Business bank account in practice, for every trading company A Maltese or EU business account in the company name, used to hold the paid-up share capital and to trade. Why: Not a Registry requirement, but in practice every trading company needs one — and it is usually the slowest part of a formation. Initial accounting setup optional A chart of accounts, opening balances, and a bookkeeping process that matches how the business actually operates. Why: Maltese companies must keep proper books and file audited financial statements. Getting the structure right at the start avoids reconstructing the first year later.
